- Le reti d’impresa sono un fenomeno di matrice economica che può essere collocato all’interno dell’ampio quadro delle strutture aggregazionali tra imprese: il cd. Networking. Le reti sono forme ibride di organizzazione, un modello intermedio che si colloca fra le categorie generali dello scambio contrattuale e delle strutture gerarchiche integrate e che tende a sfuggire alle categorie giuridiche tradizionali. Il predetto fenomeno reticolare, è stato oggetto di positivizzazione da parte del Legislatore italiano attraverso la L. 9 aprile 2009 n. 33, art. 3 comma 4-ter. Il contratto di rete di cui alla citata normativa si pone, quale strumento di disciplina e d’incentivazione dei rapporti cooperativi tra imprese alternativo alle forme di aggregazione tradizionali. Esso rappresenta una figura flessibile di contratto plurilaterale con comunione di scopo, ad effetti obbligatori, di natura formale e connotato da una responsabilità limitata.
- Business networks represent a new way of partnership through which knowledge flows, propagates and regenerates, fuelling the processes of production and consumption. They may be qualified, from an economic point of view, as a free association between enterprises with the aim of increasing their competitiveness and innovativeness This reticular phenomenon was regulated for the first time by the Italian lawmaker through the L. 9 April 2009 n. 33, article 3 comma 4-ter. The network contract is a new legal norm also in the international spectrum, as a tool of discipline an incentive of networking between enterprises. This tool acts as an alternative to traditional relationships that affect each company (consortium, holdings). Therefore, the main goal of the research project is analysing business networks from an economic and legal point of view. My investigation is focussed on the features of the structure and the organisation of the companies involved in the network.
